Whitelabel License Agreement

This Whitelabel License Agreement (“WLA”) is a supplement to the EagleSend Terms of Service and governs the use of EagleSend’s platform under the Operator plan with whitelabel branding (“Licensee,” “you,” or “your”).

By checking the “I accept the Whitelabel License Agreement” box during Operator onboarding, you agree to be bound by both this WLA and the general Terms of Service. If there is a conflict between this WLA and the Terms of Service, this WLA shall prevail with respect to whitelabel-specific matters.

Subject to the terms of this WLA and continued payment of Operator plan fees, EagleSend grants you a non-exclusive, non-transferable, revocable license to operate the platform under your own brand. You may:

• Run LinkedIn outreach campaigns for your clients using the platform under your brand
• Export reports and analytics to share with clients
• Use the platform API to integrate with client CRMs
• Customize branding, including your logo, app name, company name, and domain
• Manage multiple client workspaces within your instance

You may not:

• Grant clients direct login access to the dashboard
• Resell, sublicense, or redistribute software access to third parties
• List or distribute the software on marketplaces, including but not limited to AppSumo, AppSumo alternatives, or any software aggregation platform
• Charge clients a separate “software subscription” fee for dashboard access
• Represent the software as your own proprietary technology in marketing materials
• Reverse engineer, decompile, or attempt to extract source code from the platform

The whitelabel license permits you to apply your own visual identity to your instance of the platform. The following guidelines apply:

• You may use your own logo, app name, and company name within your whitelabel instance
• You must not remove or obscure EagleSend attribution in system-generated communications, including transactional emails, API responses, and source code comments
• Custom domains must be domains you own and control; EagleSend will verify domain ownership during setup

The whitelabel license does not transfer any ownership, copyright, patent, or other intellectual property rights in the underlying software, algorithms, data models, or infrastructure. All rights not explicitly granted in this WLA are reserved by EagleSend.

As a whitelabel operator, you bear additional responsibilities regarding client data:

• You are responsible for your clients’ data and compliance with applicable laws, including GDPR, CCPA, and CAN-SPAM
• EagleSend processes data as a sub-processor on your behalf; the relationship between EagleSend and your clients is governed solely through you
• You must have appropriate data processing agreements with your clients regarding how their data is collected, stored, and processed
• You are responsible for responding to data subject access requests from your clients’ contacts

EagleSend reserves the right to monitor usage patterns to detect violations of this WLA, including but not limited to:

• Multiple user accounts from different organizations accessing a single Operator instance
• Evidence of sublicensing, resale, or marketplace distribution
• Client-facing marketing materials that describe the offering as “software access” rather than a managed service

Violation of prohibited uses results in immediate suspension pending investigation. EagleSend will notify you of the suspected violation and provide 7 calendar days to cure.

Confirmed breach (uncured or repeated) results in:

• Termination of your Operator subscription with no refund for the current billing period
• Permanent revocation of the whitelabel license
• Deactivation of your whitelabel instance

Either party may terminate this WLA with 30 days written notice to the other party.

• Upon termination, your whitelabel instance will be deactivated and custom domain bindings removed
• You may request an export of your campaign data and lead lists prior to deactivation
• Data retention: EagleSend will retain your data for 30 days after termination, after which it will be permanently deleted unless otherwise required by law

Termination of this WLA does not automatically terminate your underlying EagleSend subscription. You may continue to use the Service under a standard plan without whitelabel features.

THE SERVICE IS PROVIDED “AS IS” WITH COMMERCIALLY REASONABLE UPTIME. INMAILER AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE AVAILABILITY, RELIABILITY, OR PERFORMANCE OF THE WHITELABEL INSTANCE. INMAILER AI’S TOTAL LIABILITY UNDER THIS WLA SHALL NOT EXCEED THE FEES PAID BY LICENSEE DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

Licensee agrees to indemnify and hold harmless EagleSend from any claims, losses, or damages arising from Licensee’s use of the whitelabel branding, including claims from Licensee’s end-clients who may believe they have a direct relationship with EagleSend.

This WLA is versioned (current: v1.0). EagleSend may update these terms with 30 days notice via email to the address associated with your account.

• Continued use of the whitelabel features after the notice period constitutes acceptance of the updated terms
• Material changes that restrict your permitted use require explicit re-acceptance during your next login
• If you do not accept updated terms, you may terminate your Operator subscription within the 30-day notice period
